EyeCare Partners LLC (“EyeCare Partners” or the “Company”), the nation’s leading provider of clinically integrated eye care, announced today that it has entered into an agreement for the sale of its optometry business to MyEyeDr., the leading provider of comprehensive optometry services. The sale is expected to close in the fourth quarter of 2026, subject to satisfaction of customary closing conditions, including receipt of regulatory approvals.
This transaction will allow EyeCare Partners to sharpen its focus on its ophthalmology and ambulatory surgical center businesses, expanding access to specialty eye care and creating further value across the business.
Following the sale, EyeCare Partners expects to use the proceeds to reduce debt, increase liquidity, and strengthen its capital structure.

In connection with the sale, the Company will launch an exchange offer for certain outstanding term loans. The exchange offer, supported by lenders holding approximately 81% of the Company’s second-out term loan, is expected to extend maturities and support liquidity.
Guggenheim Securities LLC and CapM Advisors served as the Company’s financial advisors on the sale of the EyeCare Partners optometry business, and Centerview Partners served as the Company’s financial advisor on the term loan exchange transaction. Kirkland & Ellis LLP is counsel to the Company.
Gibson, Dunn & Crutcher LLP served as legal advisor, and Moelis & Company LLC served as financial advisor to an ad hoc group of holders in the exchange transaction. Davis Polk & Wardwell LLP served as legal advisor to the administrative agent.
